By accessing or using ProfitClarity ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ProfitClarity is a profit tracking and analytics platform for Shopify store owners. Our Service helps you:

  • Calculate true profit margins on orders and products
  • Track cost of goods sold (COGS), shipping costs, and transaction fees
  • Analyze profitability trends and patterns
  • Make data-driven business decisions

3. Account Registration

3.1 Account Creation

To use our Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized account access.

4. Shopify Integration

4.1 Authorization

By connecting your Shopify store, you authorize us to access your store data through the Shopify API as described in our Privacy Policy.

4.2 Data Accuracy

We rely on data from Shopify and information you provide. You are responsible for ensuring the accuracy of cost data, product costs, and other information you input.

4.3 Shopify Terms

Your use of Shopify is subject to Shopify's own terms of service. We are not responsible for any issues arising from your Shopify account.

5. Subscription and Payments

5.1 Free Trial

We offer a free trial period for new users. Trial terms and duration are specified during signup.

5.2 Subscription Plans

Paid subscription plans are billed monthly or annually as selected. Prices are subject to change with 30 days notice.

5.3 Payment Processing

Payments are processed through Stripe. By providing payment information, you agree to Stripe's terms of service.

5.4 Refunds

Refunds are provided at our discretion. Annual subscriptions may be eligible for prorated refunds within the first 30 days.

5.5 Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Reverse engineer or decompile any part of the Service
  • Use automated systems to access the Service without permission
  • Share account credentials with unauthorized parties
  • Use the Service to harm, threaten, or harass others

7. Intellectual Property

7.1 Our Property

The Service, including its design, features, content, and code, is owned by ProfitClarity and protected by intellectual property laws.

7.2 Your Data

You retain ownership of your store data. You grant us a license to use this data solely to provide the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • Calculations will be 100% accurate
  • The Service will meet your specific requirements
  • Any errors will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFITCLARITY SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages exceeding the amount paid by you in the 12 months preceding the claim

This limitation applies regardless of the theory of liability.

10. Indemnification

You agree to indemnify and hold harmless ProfitClarity, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended inactivity

Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ProfitClarity.

17. Changes to Terms

We may update these Terms periodically. Continued use of the Service after changes constitutes acceptance of the new Terms.
